General Terms and Conditions

Quotations

Quotations are provided for informational purposes only, and the prices stated therein are in no way binding.
The documents accompanying the quotations, such as drawings, dimensions, weights, etc., are approximate unless expressly stated otherwise.
Documents handed to the buyer, such as plans, photos, drawings, remain the exclusive property of the seller. The buyer may only use them for the study of the intended project covered by the quotation. Quotations as well as accompanying documents may not be disclosed or handed over to third parties.

Orders

The order is only valid after written confirmation by the seller. Any additions or changes to the order must also be confirmed in writing by the seller.
The delivery times on purchase orders, specifications, etc., are provided as indications only and are not strictly applicable. The customer may not invoke non-compliance with the agreed delivery times to claim damages or nullification of the agreement.
If the buyer cancels their order, the seller has the right to claim compensation corresponding to the incurred damages, but limited to 10% of the agreed price, provided that the deposit paid by the buyer remains acquired by the seller as a provision for the cancellation fee.

Prices

Unless otherwise agreed, prices are "ex works," including loading onto a truck or other means of transport, but excluding packaging.
Unless otherwise agreed, our invoices are always payable in cash in Herentals, and issuing bills of exchange or receipts does not deviate from this.
In case of non-payment on the due date, interest at a rate of 12% is automatically payable without notice.
In case of non-payment of the amount of this invoice on the due date, the remaining balance will be increased by 15%, as a lump sum compensation.
Until the invoices are fully settled, the respective goods remain our property.
The turnover tax is always borne by the buyer.
Non-payment on the specified due date gives us the right to suspend all current orders without notice.

Delivery Period

The delivery period begins with the dispatch of the written order confirmation, but not before receipt by the seller of any agreed prepayment at the time of order.
The delivery period is considered fulfilled when, before its expiry, the subject of the delivery has left the factory or when the readiness for shipment has been communicated.
The delivery period is automatically extended if unforeseen circumstances occur beyond the control of the suppliers, such as business disruptions, general delays in the delivery of raw materials, provided that they directly affect the completion or delivery of the order.

Delivery

Generally, delivery is ex works. The risk of shipment passes to the buyer upon leaving the factory, even in the case of carriage paid delivery. The seller cannot be held liable for loss or damage during transport.
In the case of orders for multiple items, partial delivery by the seller is always permitted.

Warranty

Warranty is only applicable to parts of new equipment that show a defect within a period of 6 months that undoubtedly results from a construction fault and significantly hinders or makes impossible the operation or use of the delivered item.
Repairs or replacements falling within this obligation can in no case lead to a claim for damages by the buyer.
For items supplied by the seller from foreign manufacture, this warranty is limited to the seller's assignment to the buyer of the obligations that the manufacturer has towards them.
The seller may refuse to repair or replace unusable or defective parts if the buyer fails to fulfill their obligations.
The warranty expires when defects result from: improper or incorrect use, incorrect installation or commissioning by the buyer or third parties, normal wear and tear, incorrect or negligent treatment, particularly overload, unsuitable operating conditions, inadequate construction work, unsuitable building ground, chemical or electrical influences, provided they are not caused by the fault of the supplier.
The travel time of our mechanics-service technicians is calculated from their departure from our workshop until their return.
Repairs due to wear and tear are not covered by the warranty.
No warranty is given on repairs.

Complaints

All complaints must be made validly within eight days of receipt of the goods. No returns will be accepted by the supplier without prior agreement.

Special Conditions

Special conditions granted for a specific matter in writing and in a contract signed by both parties shall prevail over those mentioned above.

Jurisdiction

The courts of the Turnhout district have exclusive jurisdiction in case of dispute.
Acceptance of our order confirmation implies agreement to the above conditions by the buyer.
